Terms and conditions

Sandbox working draft, not a final legal document. Owner-supplied identity is included; the office, tax classification and remaining gaps require verification. Live sales are not authorised.

Version: 2026-10-16-sandbox-v4-direct-manual

1. Provider and draft status

MERCURIUS 4 Kereskedelmi és Szolgáltató Betéti Társaság (Mercurius 4 Bt.). Company registration: 01-06-016739; Hungarian tax number: 28135775-2-41. Registered office: [REGISTRY ADDRESS TO BE PROVIDED AND VERIFIED]; registry court: [TO BE VERIFIED]; postal complaints address: [TO BE PROVIDED]. Contact: info@chemistrytutor.hu. Normal Hungarian VAT status is owner-declared; the registry extract and applicable tax registrations require separate verification. These are sandbox working terms pending legal and accounting approval, not an authorisation for live sales. The provider and controller for personal tuition and course agreements must be verified separately; their earlier terms are not automatically amended.

2. Services

Free access covers selected notes and exercises, including guest use. Pro is a one-off HUF 9,900 reference offer for precisely one selected syllabus version and one examination level, until the end of 21 June 2027, Budapest time. The purchase summary identifies scope and expiry; other languages, levels or future versions are not automatically included. Only published, approved premium notes, exercises and actually supported interactive, automatic checking, model-answer self-checking and account progress features are included. Future content and instant AI grading are not guaranteed. International totals may vary with local tax; the approved final total must be shown before the payment obligation.

3. Teacher subscription

An isolated workspace provides private-student management, lesson scheduling and preparation, materials and assignment sharing, submissions and feedback, and the available shared lesson workspace. It grants no platform-administrator rights. The current reference fees are HUF 19,900 monthly or HUF 199,000 yearly; the yearly fee is approximately 16.7% below twelve monthly fees. The chosen period renews until cancelled. No trial. Renewal alone does not restart the voluntary initial 14-day refund period. Pro Plus is unavailable for new sales; historic rights and commitments remain.

4. Accounts, age and representation

Free accounts and the authentication modal use verified email sign-in without a general age-band or birth-date question. The contracting buyer for a paid service must be an adult. Known minor learners retain the separate verified-email parent/representative process: access belongs to the learner and the parent contracts and pays. Minors cannot purchase a teacher subscription. An account with unknown age is not verified as adult; card payment proves neither age nor representative authority. The terms accepted in Checkout include this eligibility rule. Legal review of the simplified flow for minors remains required; this draft does not claim approval for every minor situation. GDPR Article 8 consent for optional processing is a separate matter.

5. Contract formation and corrections

After choosing a plan on Pricing, create an email account or sign in if needed, then proceed directly to Stripe Checkout. The normal flow has no separate /purchase/start form; legacy links return to the selected plan. Name and billing details are collected by Stripe. Before the final order carrying a payment obligation, the exact plan, syllabus version/level, access period, total, renewal terms and versioned terms, privacy and withdrawal information are available. An initially unchecked Stripe checkbox collects terms acceptance without a withdrawal waiver. Preparing an internal order is not acceptance. The server records acceptance evidence and an immutable document snapshot using the signed event and retrieved Checkout state. Fulfilment and access require verified payment; a success redirect alone proves nothing. Durable purchase confirmation is prepared by email and described according to its actual delivery state.

6. Payments, tax and invoicing

The provider is owner-declared to be a normal Hungarian VAT-registered company. Applicable classification, rate, place of supply, exemption or reverse charge depend on the actual service and verified buyer facts. Online platform use is not automatically VAT-exempt education. Hungary’s general 27% rate is relevant only where the approved classification and place-of-supply rules require it. The displayed amount before the binding order must include all applicable taxes and mandatory charges. International totals may vary with local tax; the reference net amount, rates, evidence and registrations require accountant approval before live use. The conditional EUR 10,000 EU place-of-supply threshold is not an exemption and requires company-wide relevant current- and previous-year turnover. OSS, SME and non-EU obligations are separate reviews. Curriculum does not determine tax country, IP alone is insufficient, and teacher status does not automatically establish B2B or reverse charge. Necessary billing/address and tax-status data are collected. Statutory invoices and NAV reporting depend on the approved invoicing system; a Stripe receipt is not automatically a compliant invoice. Sandbox creates no real money movement or fiscal invoice. Card numbers are handled by Stripe, not stored by ChemistryTutor. Failed payments grant no access. Failed teacher renewal can restrict paid workspace features after the paid period, without automatic data deletion. Mercurius 4 Bt. manually issues the official invoice in NAV Online Invoicing and sends it separately within applicable deadlines. Test tasks and TEST- document numbers are non-fiscal. This system does not issue or submit NAV invoices automatically. A technical Stripe Billing invoice does not replace the official invoice; customer-facing Stripe document configuration requires legal review before launch. Locally varying totals require approved net prices and country configuration; until then only labelled fixed sandbox totals are available.

7. Initial 14-day withdrawal

Within 14 days after contract formation, Pro buyers may withdraw without a reason. The initial teacher subscription receives the same full refund voluntarily, including professional teacher buyers and prior use. No proportional deduction or waiver applies. Mandatory rights remain unaffected. The formation day is excluded; Budapest calendar days and applicable holiday extensions govern. Missing required information or other circumstances can extend statutory rights; late or exceptional declarations receive human review rather than automatic deletion.

8. Declaration and consequences

The footer and confirmation link to withdrawal without requiring an account. Provide the information needed to identify the contract, such as buyer name, purchase email and order reference if known; absence of a reference does not prevent a declaration. Review then use Confirm withdrawal. A reason is not required. Submission is timestamped immediately and acknowledged by email on a durable medium. An unambiguous email to info@chemistrytutor.hu is also valid; the model form is optional. Verification protects funds and accounts without changing the original declaration time. Accepted withdrawal ends the associated paid access and stops further teacher charges. A full refund is due without undue delay, no later than 14 days after notice, to the original payment method without a separate fee. Initiation and settlement are separate states; failures require action. Bank posting may take additional time. The free account and lawfully retained learning records are not deleted solely because of withdrawal.

9. Cancelling renewal

The account’s subscription-management link opens Stripe Customer Portal to stop the next renewal. Paid access remains until the paid period ends. This is separate from withdrawal and does not automatically issue a refund. Cancellation confirmation identifies the paid-period end. Billing errors, non-conformity and mandatory legal remedies remain independently available.

10. Technical and acceptable-use requirements

Use a supported browser, reliable internet and your own protected account. Do not share credentials, redistribute protected materials or infringe others’ rights. Tablet/touch and desktop features depend on actual device and browser support. WebView access uses the web service; availability of app-store purchases is separately subject to platform rules. No universal compatibility or examination result is guaranteed.

11. Conformity and changes

Eligible consumers retain mandatory rights under Hungarian Decree 373/2021 and the Civil Code, including bringing digital supply into conformity, proportionate price reduction or termination where applicable, and necessary updates and security fixes. The voluntary refund does not replace these rights. Report issues to info@chemistrytutor.hu without unnecessary learner or card data. Material adverse changes are not implemented by replacing previously accepted terms retrospectively. Earlier terms remain unchanged; legally required durable notice and termination rights apply to future changes.

12. Interruptions, suspension and liability

Maintenance and incidents can interrupt service; we aim to restore it promptly and communicate material disruption. Abuse or serious breach can lead to proportionate restriction or suspension, with review available. Liability that cannot lawfully be excluded, including intentional breach, injury and mandatory consumer rights, is not excluded.

13. Complaints and disputes

Complaints: info@chemistrytutor.hu; postal address [TO BE PROVIDED]. Written complaints normally receive a reasoned reply within 30 days. Rejections include the applicable authority/conciliation options; competent conciliation body name, address, phone and website [TO BE VERIFIED]. Statutory cooperation duties apply. Competent consumer authorities and courts remain available. The former EU ODR platform is closed and is not offered as an active remedy. Choice of Hungarian law does not remove mandatory protection applicable to consumers elsewhere.

14. Cross-border sales

A curriculum choice does not determine the buyer’s tax country. Supported sales depend on actually configured payment, tax and legal conditions, including applicable EU geo-blocking rules. Consumers retain more favourable mandatory rights of their habitual-residence jurisdiction where applicable; non-EU mandatory requirements require separate review. The voluntary 14-day undertaking does not override stronger mandatory rights. Free access may remain available independently of paid-country readiness.
